Terms of Service

1. Acceptance of Terms

By accessing or using uphiire.com (the "Site"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Site.

2. Description of Services

UpHiire operates a website that connects U.S. and international businesses with pre-vetted, independent contractor talent based in Latin America. Submitting an inquiry through this Site does not create any contractual obligation. Any placement, staffing, or ongoing service relationship between UpHiire, a client, and a contractor is governed by a separate written agreement (a Placement Agreement and/or Independent Contractor Agreement) signed by the relevant parties, not by these Terms.

UpHiire offers two distinct types of engagements:

(a) Placement Services: UpHiire sources, screens, and delivers a shortlist of candidates to the client. Once a hire is made, UpHiire's involvement in the working relationship ends, except as described in the applicable Placement Agreement (including any replacement guarantee).

(b) Optional Ongoing Payment Facilitation: For clients who elect this service, UpHiire collects payment from the client on a recurring basis and remits payment to the contractor accordingly, for a separate fee disclosed at the time the service is set up. Even when providing this payment facilitation service, UpHiire acts solely as a payment intermediary. UpHiire is not the contractor's employer, is not an Employer of Record, and is not a party to the scope, terms, or performance of the work itself, which remains governed by the agreement between the client and the contractor.

3. No Employment Relationship

UpHiire is not an Employer of Record. Talent placed through UpHiire is engaged as an independent contractor by the client, not as an employee of UpHiire. UpHiire is not a party to the working relationship between a client and a contractor beyond the placement service itself.

4. Use of the Site

You agree to use this Site only for lawful purposes. You may not use this Site to submit false information, attempt to interfere with the Site's operation, or misuse any content or materials found here.

5. Intellectual Property

All content on this Site — including text, graphics, logos, and templates (such as the sample contractor agreement template) — is the property of UpHiire unless otherwise noted, and is provided for informational and reference purposes. You may not reproduce or redistribute this content for commercial purposes without permission.

6. No Warranty

This Site and its content (including resource guides, templates, and salary estimates) are provided "as is" for general informational purposes only. UpHiire makes no warranties about the accuracy, completeness, or suitability of this information for your specific situation, and nothing on this Site constitutes legal, tax, or financial advice.

7. Limitation of Liability

To the fullest extent permitted by law, UpHiire is not liable for any indirect, incidental, or consequential damages arising from your use of this Site or reliance on its content.

8. Changes to These Terms

UpHiire may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

9. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.
